White Label Addendum
Version 1.0. This White Label Addendum (the "Addendum") adds to the Authorized Dealer Agreement between Foreign Koncept Performance, doing business as Koncept Forged ("Koncept Forged"), and the Dealer that signs it. Terms not defined here have the meaning given in the Authorized Dealer Agreement. If the two conflict on a white label order, this Addendum controls.
1. Eligibility
1.1 Dealer is an Elite dealer under Schedule B of the Authorized Dealer Agreement and has been in good standing for at least 6 months.
1.2 Dealer places an opening stocking order of at least 20 sets (80 wheels) or $100,000, whichever is higher.
1.3 Dealer commits to at least 40 sets of white label wheels in each 12-month term. Exclusivity under Section 3.3 depends on meeting this commitment.
2. What Koncept Forged builds
2.1 Wheels carrying Dealer's brand on the center caps, lip or barrel engraving, packaging and owner's card, built on Koncept Collection designs or on exclusive designs developed for Dealer.
2.2 Exclusive designs are developed for a design and engineering fee quoted per design and paid before design work starts.
2.3 Every wheel carries a Koncept Forged serial number inside the barrel for traceability, warranty and safety recalls. Dealer will not remove or cover it.
3. Ownership and licenses
3.1 Koncept Forged owns all engineering, CAD files, drawings, renders, tooling, programs and processes used to make white label wheels, including for exclusive designs.
3.2 Dealer owns its own names and logos and grants Koncept Forged a license to apply them to Dealer's orders only. Dealer confirms it has the right to use them.
3.3 Koncept Forged will not sell an exclusive design to anyone else while Dealer meets its annual commitment. If Dealer misses the commitment or this Addendum ends, Koncept Forged may use the design again after 12 months.
4. Sales rules
4.1 White label wheels are sold to end customers only. Dealer will not sell them wholesale, to other dealers or on any marketplace listed in Section 6.4 of the Authorized Dealer Agreement.
4.2 For white label versions of Koncept Collection designs, Dealer will not advertise a price below Koncept Forged's MAP for the equivalent model. Dealer sets its own prices for exclusive designs.
4.3 Dealer does not describe white label wheels as made by another manufacturer, and does not use the Koncept Forged, Koncept Collection or Koncept Bespoke names on them unless Koncept Forged approves in writing.
5. Orders, payment and stock
5.1 Every white label order, including stocking orders, is paid in full when placed from the payment method on file, under Section 3.4 of the Authorized Dealer Agreement. Production starts after payment clears.
5.2 Stocking orders are delivered about 10 to 12 weeks after design approval. Lead times are estimates, not guarantees.
5.3 Dealer keeps at least 8 sets of white label wheels in stock and reorders before falling below that level.
5.4 Order credit under Schedule B applies to white label orders on the same terms as other orders.
6. Warranty
6.1 Dealer warrants white label wheels to its customers under its own brand, on terms no broader than Koncept Forged's published warranty.
6.2 Koncept Forged backs Dealer on the same terms as its published warranty (3 years structural, 1 year finish, 1 year multi-piece hardware, with the same exclusions). Dealer files claims through the dealer portal.
7. Term
7.1 This Addendum runs for 12 months from signing and renews with the Authorized Dealer Agreement. It ends automatically if the Authorized Dealer Agreement ends or Dealer drops below Elite for two consecutive quarters. Paid orders in production are completed.
7.2 Only Koncept Forged's Founder can approve this Addendum or any change to it.
